Terms and Conditions

Welcome to QuickFlick TV (\"QuickFlick TV,\" \"we,\" \"us,\" or \"our\"). These Terms and Conditions (\"Terms\") govern your access to and use of the QuickFlick TV website, platform, and related services (collectively, the \"Services\").

By accessing or using QuickFlick TV, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 13 years old to use QuickFlick TV. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.

If you are using the Services on behalf of a company, production entity, or other organization, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

Certain features require account registration. You agree to provide accurate, complete, and current information and to keep your account credentials secure.

You are responsible for all activity that occurs under your account. You must notify us promptly if you believe your account has been accessed without authorization.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Platform Overview

QuickFlick TV is a fan-powered studio and social streaming platform that allows users to:

• Watch pilots, micro-series, and original content

• Upload scripted content, reactions, images, and clips

• Vote using features such as Hit or Miss

• Participate in discovery through Produce or Drop and QuickPeek

Use of the Services does not guarantee visibility, promotion, funding, production, compensation, or selection for any opportunity.

4. User-Generated Content

4.1 Ownership of User Content

You retain ownership of the content you upload, submit, post, or share through QuickFlick TV (\"User Content\").

Uploading content to QuickFlick TV does not transfer ownership of your User Content to QuickFlick TV.

4.2 License to QuickFlick TV

By uploading User Content, you grant QuickFlick TV a worldwide, non-exclusive, royalty-free, revocable license to host, store, stream, display, reproduce as technically necessary, and promote your User Content solely for the purpose of operating, improving, and marketing the platform and its services.

This license allows QuickFlick TV to:

• make your content available for viewing on the platform

• display thumbnails, titles, captions, and promotional excerpts related to your content

• promote your content within the platform, on QuickFlick TV social channels, and in platform marketing materials tied to QuickFlick TV

This license does not give QuickFlick TV ownership of your User Content.

This license does not make your upload exclusive.

4.3 Removal of User Content

You may remove your User Content from QuickFlick TV at any time, unless you have entered into a separate written agreement with QuickFlick TV stating otherwise.

Once you remove your User Content, QuickFlick TV will stop publicly displaying it on the platform within a commercially reasonable period, subject to normal technical processing, caching, backups, legal obligations, security needs, and internal administrative recordkeeping.

Removal of content ends QuickFlick TV\'s right to publicly display that content on the platform going forward, except as required for the limited purposes stated above.

4.4 Responsibility for Content

You are solely responsible for your User Content. You represent and warrant that:

• you own the content or have all necessary rights, permissions, and licenses to upload and share it

• your content does not infringe the rights of any third party

• your content complies with these Terms and applicable law

QuickFlick TV does not pre-screen all User Content and does not endorse any content uploaded by users.

4.5 No Funding or Ownership Rights at Upload Stage

Uploading content to QuickFlick TV does not by itself create:

• any funding obligation by QuickFlick TV

• any exclusive arrangement

• any transfer of ownership, copyright, or intellectual property rights to QuickFlick TV

• any right by QuickFlick TV to produce additional episodes, sequels, spinoffs, remakes, or derivative projects beyond the platform license described above

4.6 Separate Agreement for Funded Projects

If QuickFlick TV chooses to finance, co-produce, acquire, or otherwise fund a project, episode, season, or related rights, that arrangement will be governed only by a separate written agreement signed by both parties.

Any exclusivity, revenue participation, co-ownership, intellectual property split, distribution rights, backend, or other deal terms related to funded content will apply only if expressly stated in that separate written agreement.

5. Intellectual Property

All content and materials on QuickFlick TV, excluding User Content, including without limitation the QuickFlick TV name, logo, branding, platform design, software, text, graphics, audiovisual materials, and other proprietary materials, are owned by QuickFlick TV or its licensors and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use platform-owned content without prior written permission from QuickFlick TV.

6. Copyright Infringement and DMCA Policy

QuickFlick TV respects the intellectual property rights of others and expects users to do the same.

Users may only upload content they own or have the legal right to use. QuickFlick TV does not claim ownership of user-submitted content and is not responsible for content uploaded by users that infringes the rights of third parties.

In accordance with the Digital Millennium Copyright Act of 1998 (\"DMCA\"), QuickFlick TV will respond promptly to notices of alleged copyright infringement.

6.1 Reporting Copyright Infringement

If you believe your copyrighted work has been copied or uploaded on QuickFlick TV in a way that constitutes infringement, please submit a written notice including:

1. Your physical or electronic signature

2. Identification of the copyrighted work claimed to have been infringed

3. Identification of the allegedly infringing material and its location on the platform

4. Your contact information, including name, address, phone number, and email

5. A statement that you have a good-faith belief the use is not authorized

6. A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner

6.2 Counter-Notification

If you believe your content was removed due to mistake or misidentification, you may submit a counter-notification as permitted by the DMCA. Upon receipt of a valid counter-notification, QuickFlick TV may restore the content unless legal action is initiated by the reporting party.

6.3 Repeat Infringers

QuickFlick TV may suspend or terminate accounts of users determined to be repeat infringers.

7. Prohibited Content and Conduct

You agree not to upload, post, or share content that:

• infringes intellectual property, publicity, privacy, or other legal rights

• is unlawful, fraudulent, defamatory, threatening, or harassing

• contains hate speech or unlawful explicit content

• impersonates another person or entity in a misleading way

• violates any applicable law or regulation

You also agree not to:

• interfere with platform operations or security

• scrape, harvest, or collect data without authorization

• attempt to gain unauthorized access to accounts, systems, or content

• circumvent moderation, reporting, or safety systems

• use the Services for spam, scams, or deceptive activity

QuickFlick TV reserves the right to remove content or suspend accounts that violate these Terms.

8. Community Interaction and Voting

Features such as Hit or Miss, voting, comments, and sharing are community-driven tools designed to support discovery and engagement.

User votes, engagement, popularity, or audience support do not guarantee:

• funding

• production

• distribution

• compensation

• acquisition

• advancement of any project

QuickFlick TV may consider audience engagement as one factor among others when evaluating projects, but all development, financing, production, and business decisions remain in QuickFlick TV\'s sole discretion unless otherwise stated in a separate written agreement.

9. Termination

QuickFlick TV may suspend or terminate your account or access to the Services at any time, with or without notice, if you violate these Terms or if necessary to protect the platform or its users.

You may stop using the Services at any time. Subject to Section 4.3, you may also remove your User Content from the platform at any time unless a separate written agreement provides otherwise.

Upon termination, your right to use the Services ends immediately.

Sections of these Terms that by their nature should survive termination will remain in effect, including sections relating to intellectual property, indemnification, limitations of liability, governing law, and dispute resolution.

10. Disclaimers

QuickFlick TV is provided on an \"as is\" and \"as available\" basis.

We do not guarantee uninterrupted service, error-free operation, accuracy, reliability, or that the platform will always be secure or available.

Your use of the Services is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, QuickFlick TV and its officers, directors, employees, contractors, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to:

• your use of or inability to use the Services

• your User Content

• the conduct or content of other users

• unauthorized access to or use of the platform

In no event shall QuickFlick TV\'s total liability exceed the greater of one hundred dollars ($100) or the amount you paid, if any, to QuickFlick TV in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless QuickFlick TV, its officers, directors, employees, contractors, partners, and affiliates from and against any claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys\' fees, arising out of or related to:

• your User Content

• your use of the Services

• your violation of these Terms

• your violation of any rights of another person or entity

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in California, and you consent to the jurisdiction of those courts.

14. Changes to These Terms

QuickFlick TV may update these Terms from time to time. Updates will be posted with a revised effective date.

Your continued use of the Services after updated Terms are posted constitutes your acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Services.
